1. Purpose and publisher
These terms and conditions (the “Terms”) govern access to and use of the Chronos service (the “Service”), an online application for time tracking, reports and invoicing, available at https://chronos.amphore.dev.
The Service is published by Siméon Ferrara EI, a French sole trader doing business as Amphore, SIREN 917 923 492, VAT number FR46917923492, 134 avenue Maréchal de Saxe, 69003 Lyon, France, contact: contact@amphore.dev (“Amphore”, “we”).
By creating an account, the user accepts these Terms and the privacy policy by ticking the box provided for this purpose. The date and the version accepted are recorded.
2. Definitions
- User: any person holding a Chronos account.
- Workspace: all the projects, clients, tasks, reports and invoices of an account or a team. Every user has a personal workspace; a team workspace brings several members together.
- Owner: the user who holds a workspace, the only one entitled to subscribe, change or cancel its subscription.
- Member: a user invited into someone else’s workspace, with a role (administrator, editor, viewer, or access limited to some projects or clients).
- Subscription: the paid plan taken out for a workspace.
- Content: the data entered or imported by users (projects, tasks, durations, client records, reports, invoices, files).
3. Account and access
3.1. The user creates an account with an e-mail address and a password, a passkey, or a Google or GitHub account. They provide accurate information and keep it up to date.
3.2. They are responsible for keeping their credentials confidential and for any activity carried out from their account. They can review and sign out their devices from their profile, and inform us without delay of any unauthorised use.
3.3. The Service is mainly intended for freelancers and businesses, but it is open to everyone. Provisions specific to consumers (persons acting outside their trade or profession) are identified as such; the others apply to all.
4. Plans
4.1. Plans. The Service is offered in several plans described on the Pricing page of the Chronos website, which sets out for each the limits (projects, clients, companies, members) and the features included (PDF export, invoicing, sharing):
- Free: free of charge, with no time limit, with reduced features and quotas;
- User, User+, Team, Team+: paid, monthly or yearly;
- Enterprise: on quotation, under the terms of the accepted quotation.
4.2. Trial. Every sign-up opens a free 30-day trial of the Team+ plan, with no payment method required. At its end, unless a plan is purchased, the workspace automatically moves to the Free plan, at no cost.
4.3. Over quota. If a workspace exceeds the limits of its plan (after the trial ends, a plan change or a cancellation), no content is deleted: everything remains viewable and editable, but creating beyond the limits is blocked until the workspace is back under the limit or moves to a higher plan.
4.4. Amphore may change the features of the Service. A change that would substantially reduce a current paid plan is notified at least 30 days in advance; the Owner may then cancel at no cost.
5. Prices and payment
5.1. Prices are stated in euros, including all taxes (French VAT of 20% included). For a business customer established in another Member State of the European Union with a valid intra-community VAT number, the invoice is issued exclusive of VAT with the mention “Reverse charge”.
5.2. Payment is made by card through our payment provider Stripe. Amphore never has access to card details.
5.3. The Subscription is payable in advance and renews automatically for the same period (month or year) until cancelled. An invoice is issued at each renewal and sent by e-mail; it remains downloadable from the subscription management area.
5.4. Subscribing during the trial: the remaining trial days are kept; the first payment is taken at the end of the trial.
5.5. Changing plan: the change takes effect immediately. The price difference is calculated pro rata to the time left in the current period and invoiced (or credited) at once.
5.6. Price changes: Amphore may change its prices. The new price applies from the next renewal, after at least 30 days’ notice; the Owner may cancel before that renewal.
5.7. Failed payment: if a payment fails, Stripe retries it and the Owner is informed. Unless it is settled, the Subscription ends and the workspace returns to the Free plan (art. 4.3): the content is kept.
5.8. Business customers: any amount unpaid on its due date bears, automatically and without reminder, late payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with a fixed compensation for recovery costs of €40 (articles L441-10 and D441-5 of the French Commercial Code). No discount is granted for early payment.
6. Termination
6.1. By the Owner: at any time, from their profile (subscription management). Cancellation takes effect at the end of the period already paid; the workspace then returns to the Free plan. Periods started are not refunded, subject to the consumer’s right of withdrawal (art. 8).
6.2. Account deletion: the user may delete their account at any time from their profile. Deletion cancels the subscription of their personal workspace and immediately erases their content (art. 9.4). It cannot be undone.
6.3. By Amphore: in the event of a serious breach of these Terms (art. 7), Amphore may suspend or terminate access after a formal notice that has remained unheeded for 15 days, or without notice in the event of a threat to the security of the Service or unlawful use. Without any breach, Amphore may discontinue the Service with at least 3 months’ notice; amounts paid for the period not yet elapsed are then refunded.
7. User obligations
The user undertakes to:
- use the Service in accordance with its purpose and the law;
- only enter content they are entitled to process, in particular the personal data of their clients and teams (Appendix A);
- not undermine the security or operation of the Service (unauthorised access, massive automated extraction, abnormal load, circumventing plan limits);
- keep their own invoices and accounting records for the legal periods: the Service lets them download them at any time.
8. Right of withdrawal (consumers)
A consumer has 14 days from subscribing to withdraw, without giving any reason, by writing to contact@amphore.dev. By subscribing, they expressly request that the Service start immediately; if they withdraw, they remain liable for the amount corresponding to the service provided until their withdrawal (article L221-25 of the French Consumer Code), the balance being refunded within 14 days. In any case, the free 30-day trial lets them evaluate the Service before any payment.
9. Content and data
9.1. Ownership. The user remains the owner of their Content. They grant Amphore only the right to host, process and display it in order to provide the Service.
9.2. Personal data. For the data of its users (account, sign-in, subscription), Amphore is the data controller: see the privacy policy. For the data the user enters about their own clients, contacts and teams, Amphore acts as the user’s processor, under Appendix A.
9.3. Sharing in a team workspace. The Content of a workspace is visible to its members according to their role. The Owner and the administrators manage the members and their rights.
9.4. Deletion. When an account is deleted, its content and that of its personal workspace are erased, including the tasks other members entered there and the invoices issued from that workspace; in workspaces belonging to other owners, the user’s contributions remain in the workspace and are attached to its owner. The data remains for at most 42 days in backups, which then expire on their own.
9.5. Export. The user can download their reports and invoices as PDF at any time. They can obtain a complete copy of their data in a structured, machine-readable format (portability, article 20 GDPR) by writing to contact@amphore.dev; the copy is provided within one month.
10. Availability and security
10.1. Amphore uses reasonable means to provide access to the Service 24/7, as an obligation of means. Access may be interrupted for maintenance, updates or external causes (hosting provider, network); planned maintenance is announced where possible.
10.2. Data is hosted in France (Paris) and backed up daily; backups are verified and copied off the main server. Security measures are described in Appendix A.
11. Liability
11.1. Amphore is liable for direct damage resulting from a proven breach of its obligations. Towards business customers, Amphore’s liability is limited, for all causes combined, to the amount paid by the Owner in the 12 months preceding the event giving rise to liability. This limitation applies neither to personal injury, nor to gross negligence or wilful misconduct, nor to consumers.
11.2. Amphore is not liable for: the Content entered by users or its accuracy (durations, amounts, invoice mentions); the consequences of non-compliant use; interruptions caused by force majeure or a third party (hosting provider, network, Stripe, Google or GitHub sign-in provider).
11.3. Invoices produced with the Service are issued under the sole responsibility of the user, who checks that they include the legal mentions applicable to their situation.
12. Intellectual property
The Service, its code, its interface, its trademarks (Chronos, Amphore) and its editorial content are the property of Amphore. The Subscription grants a personal, non-exclusive and non-transferable right of use for the duration of the Subscription. Any unauthorised reproduction or reuse is prohibited.
13. Changes to the Terms
Amphore may change these Terms. Any substantial change is notified at least 30 days before it takes effect, by e-mail and in the Service; the user is invited to accept the new version. If they refuse it, they may cancel at no cost before it takes effect. Each version is dated and kept.
14. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code.
15. Governing law and disputes
15.1. These Terms are governed by French law.
15.2. In the event of a dispute, the parties first seek an amicable solution (contact@amphore.dev).
15.3. Consumers: if a dispute is not settled after a written complaint sent to contact@amphore.dev, the consumer may refer it free of charge to the consumer mediator Amphore belongs to (article L612-1 of the French Consumer Code): CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice, 49 rue de Ponthieu, 75008 Paris, France; online referral at www.cm2c.net.
15.4. Failing agreement, between businesses, exclusive jurisdiction is given to the courts of Lyon. A consumer may bring proceedings, at their choice, before the court of the place where they lived when subscribing or of the place where the damage occurred.
